The founding statutes of the Czech & Slovak Union, drafted for adoption by its General Assembly.

Under the name “Czech & Slovak Union” (the “Union”), an association exists within the meaning of Art. 60 et seq. of the Swiss Civil Code (ZGB). The Union has its seat at the University of St. Gallen (HSG), St. Gallen, Switzerland, and is established for an indefinite duration.
The Union is a non-profit, politically and religiously neutral student association. Its purposes are to:
The Union pursues no commercial or profit-making purpose. Any funds and assets of the Union may only be used for purposes consistent with Art. 2. No distributions are made to members.
Membership is open to all students of the University of St. Gallen, regardless of nationality, who support the purpose of the Union. Membership requests may be submitted informally (including by email) and are confirmed by the Board.
Members are entitled to participate in the Union's events and activities, to attend and vote at the General Assembly, and to stand for election to the Board. Members are expected to act in the spirit of the Union's purpose and values.
Membership ends upon resignation (by written notice to the Board), upon a member ceasing to be enrolled at HSG for more than two consecutive academic years without renewing their membership, or by exclusion for conduct seriously contrary to the Union's purpose, decided by the Board with a right of appeal to the General Assembly.
The organs of the Union are:
The General Assembly is the supreme organ of the Union. It convenes at least once per academic year, ordinarily in the autumn semester. An extraordinary General Assembly may be convened by the Board or upon written request of at least one-fifth of the members.
The General Assembly is responsible for:
Resolutions are passed by a simple majority of members present, except where these Statutes require a qualified majority. Each member present has one vote.
The Board manages the day-to-day affairs of the Union and represents it towards third parties. It is elected by the General Assembly for a term of one academic year and may be re-elected. The Board consists of at least the following roles:
The Board may co-opt additional members or create further roles as needed, subject to ratification at the next General Assembly. The Union is validly bound by the joint signature of two Board members, one of whom must be the President or Vice President.
The Union's funds derive from membership fees (if any), sponsorships, donations, merchandise sales, and event revenue. The financial year runs in line with the academic year. The Board is responsible for keeping proper accounts, which are presented to the General Assembly for approval.
The liabilities of the Union are covered exclusively by the Union's own assets; personal liability of members is excluded, in accordance with Art. 75a ZGB.
These Statutes may be amended by a resolution of the General Assembly passed by a two-thirds majority of members present, provided the proposed amendment was communicated to members in advance of the meeting.
The Union may be dissolved by a resolution of the General Assembly passed by a two-thirds majority of members present. In the event of dissolution, any remaining assets shall be donated to a non-profit organization with a similar purpose, and shall in no case be distributed among the members.
Matters not addressed in these Statutes are governed by Art. 60 et seq. of the Swiss Civil Code. These Statutes enter into force upon adoption by the Founding General Assembly in 2026.
